BY-LAWS

MAY 1, 2008

Our mission is to promote friendship among Women of Summit Greens through philanthropic activities. 

Our emphasis will be women helping women.

ARTICLE I - NAME

The name of the corporation shall be SUMMIT GREENS WOMEN’S CLUB INC.  It shall be a non-profit corporation organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations qualifying as an exempt organization from Federal income tax under section 501 (c) (7) of the Internal Revenue Code, or corresponding section of any future Federal tax code.  The location is Summit Greens, Clermont, FL 34711

ARTICLE II –MISSION STATEMENT

Our mission is to promote friendship among Women of Summit Greens through philanthropic activities.  Our emphasis will be women helping women.

ARTICLE III - MEMBERSHIP

SECTION I: Membership shall be open to those women who live in Summit Greens. Guest residents may attend one meeting only & must joing to atten any further meetings.

SECTION II:  Members shall be willing to take an active part in the Club fulfilling the goals and objectives of the Club. Members are expected to perform their assigned duties, including participation in programs, work on committees, acting as hosts and hostesses, and serving in an official capacity when elected.  Any member unable to take part in their assigned duties must provide a substitute.

SECTION III:  Members missing three (3) consecutive meetings will be considered no longer interested in the Club & membership will be terminated.  Exceptions may be granted due to outside employment or other excused absence by the Membership Chair in writing.

Section IV: Members desiring to withdraw from the Club must send a written resignation to the President of the Club.

ARTICLE IV – DUES                                                                             

Section 1: Dues shall be $35.00 from October to May and payable to Summit Greens Women’s Club Inc. by check only and may be changed from time to time as deemed necessary by the Board.  Exception is during founding month, from May 1 through May 31, 2008, dues shall be $30 and those members shall be known as Charter Members of the Club.

ARTICLE V – NOMINATIONS AND ELECTIONS

Section 1: A Nominating Committee shall be selected at a Board of Directors Meeting held at least two months before the last meeting.  The Committee shall prepare a nominating ballot.  Nominations may be made from the floor.  Members of the Nominating committee are not barred from becoming nominees for office.

Section 2:  Elections of officers shall be held at the last General Meeting.  Election shall be conducted by voice vote, except when there is more than one candidate for an office, in which case the election shall be by ballot and a majority vote shall elect.

Section 3:
If a vacancy occurs in the Office of President, it shall be filled by the First Vic-President.  All vacancies among other officers shall be filled by appointment by the President for the unexpired term.

ARTICLE VI – OFFICERS

Section 1:
The officers of this Club shall be: President, First Vice-President, Second Vice-President, Recording Secretary, Corresponding Secretary and Treasurer.

Section 2: The President shall appoint a Parliamentarian who shall advise the Presiding Officer in Points of Parliamentary Law.

ARTICLE VII-DUTIES OF OFFICERS

Section 1. President

A.   She shall preside over all meetings; club, Board of Directors and Special Section

B.   She shall appoint all Department, Standing and Special Chairmen.

C.   She shall approve all expenditures and be empowered to sign checks.

D.   She shall represent the Club at all events.

E.   Appoint an auditor to audit the Treasurer’s books at the end of each administration or if a new Treasurer is appointed.


Section 2. First Vice-President

A.   She shall perform all duties of President in her absence.Section 2. First Vice-President

B.   She shall act as Program Chairman.

Section 3. Second Vice-President

A.   She shall be the advisor to the Club for Technical applications and compliance documents.

Section 4. Recording Secretary

A.   She shall take minutes of ALL meetings of the Club including the Board of Directors meetings.

B.   She shall be custodian of all Club records, including all papers belonging to her office.

Section 5.  Corresponding Secretary

A.   She shall take care of all correspondence of the Club

B.   She shall serve as Recording Secretary in her absence.

C.   She shall acknowledge resignations.

Section 7.  Treasurer

A.     She shall collect all dues and shall take charge of funds and disperse the same as allowed by the Board of Directors.

B.      She shall deposit funds in the name of the Club into such bank as designated by the Board.

C.     She shall keep an itemized account of receipts and expenditures and present a full report at each Board of Directors meeting.

D.     She shall assist the President and the Finance Committee in the preparation of the budget.

Section 8. Parliamentarian

A.   Assist the President and Members when requested on matters of parliamentary procedure.

B.   Fulfill duties outlined in Roberts Rules of Order Newly Revised book.

ARTICLE VIII – TERMS OF OFFICE

Section 1.  All offices are for a one year term.  However an officer may run for the same office for a 2nd term.

ARTICLE  IX – BOARD OF DIRECTORS

Section 1. The Board of Directors shall be composed of the Officers of the Club, all active former Club Presidents, and the Chairmen of the Standing Committees.

Section 2. The Board of Directors shall be empowered to transact any and all business of the Club, provided that nothing of major importance affecting the policy of the Club shall be introduced and acted upon at the same meeting.

ARTICLE X – MEETINGS

Section 1. Regular Meetings
The Club will meet the 2nd Thursday of the month at 10:30am unless otherwise mandated by the Board of Directors.

Section 2. General Meetings shall be program meetings, with a minimum of business.

Section 3. The Board of Directors Meetings shall be held on the 1st Thursday at 3:00pm.

Section 4.  Annual Meeting
The Club year will terminate with the Annual Meeting in May.

Section 5.  Special Club Meetings
Special meetings of the Club may be called by the President. Section 1. The work of the Club shall be carried on through Committees.

ARTICLE XI – STANDING COMMITTEES

Section 1. The work of the Club shall be carried on through Committees.

Section 2. Standing Committees could be but not limited to:

A.   The Finance Committee, with the President and Treasurer, shall make and recommend to the Board of Directors an annual budget at the beginning of the Club year.

B.    The Historian shall compile the history for the year as well as keep the scrapbook of publicity up to date.

C.   The Hospitality Chairman shall arrange for hostesses from among the members for each meeting of the Club and shall have charge of all social affairs.  The hostesses at each meeting will arrange the room for meetings, furnish refreshments and flowers, have charge of greeting members & giving them their name badges, along with greeting guests.  They shall retrieve the name badges from the members as they leave and make sure the room is left in order.

D.   The Membership Committee shall present the Membership to the Club.  They will provide a sign-in sheet at each meeting to track attendance.  They will keep track of all current members.

E.    The Program Committee shall consist of First Vice – President as Chairman and a committee of her choice.  The President of the Club shall be an advisory member of the committee.  The Program Chairman shall make arrangements for programs, their presentations, and necessary gratuity.

F.    The Publicity Committee shall consist of the Chairman and a committee of her choice.  It shall be the duty of this committee to keep the members and the general public informed of the activities and accomplishments of the Club.

G.   The Telephone Committee shall notify members who do not have e-mail concerning business and functions of the Club.  They will also be used for notifying members when necessary.

H.   The Web Mistress shall be responsible for maintaining the Website and sending e-mail correspondence.

I.       The Year Book Committee shall be responsible for updating the year book, publishing the yearbook and distributing the yearbook.

J.     The Donations Committee shall be responsible for overseeing the collections of donations and shall make arrangements for manning the donation booth at the Clubhouse at specified times and dates.  They will be responsible for the delivery of the donations to the appropriate Charity of choice in a timely manner.

ARTICLE XII – QUORUM

Section 1:  Twenty percent (20%) of the membership shall constitute a quorum for the meetings.

ARTICLE XIII – PARLIAMENTARY AUTHORITY

Section 1. Roberts Rules of Order, Newly revised, shall be the Parliamentary authority for the Club
. 

ARTICLE XIV- MONETARY DISTRIBUTIONS

Section 1.  No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.

ARTICLE XV – LEGISLATIVE ACTIVITY

Section 1.  No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. 

ARTICLE XVI – OTHER PURPOSE


Section 1.  Notwithstanding any other provision of this document, the organization shall not carry on any other purpose not permitted to be carried on (a) by an organization exempt from Federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future Federal tax code.

ARTICLE XVII – DISSOULUTION


Section 1. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (7) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or shall be distributed to the Federal government, or to a state or local government, for a public purpose.  Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such  organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
